These Terms of Service ("Terms") govern your access to and use of the services provided by clientes.ai("we," "us," or "our"), including our website, AI-powered products, and any related services (collectively, the "Services"). By accessing or using our Services you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptance of Terms
By creating an account or otherwise accessing our Services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with them. If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Description of Services
clientes.ai provides AI-powered business automation services, including but not limited to:
- Executive Agents — custom AI assistants trained to automate personal and professional tasks on your behalf.
- Customer Services — AI-driven customer support solutions trained on your business data.
- Custom Solutions — bespoke AI integrations and workflows tailored to your business goals.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
3. Account Registration
To access certain features you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at legal@clientes.ai if you suspect unauthorized access.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation.
- Transmit harmful, fraudulent, defamatory, or infringing content.
- Attempt to reverse-engineer, copy, or create derivative works of our AI models or systems.
- Interfere with or disrupt the integrity or performance of the Services.
- Use the Services to develop competing products or services.
- Engage in automated scraping, crawling, or data extraction without prior written consent.
5. AI Services — Specific Terms
Our Services incorporate AI technologies. You acknowledge and agree that:
- AI-generated outputs may not always be accurate, complete, or appropriate for your specific situation. You are responsible for reviewing and validating any AI-generated content before acting on it.
- You grant us a limited license to use data and instructions you provide solely to operate, maintain, and improve your configured AI services.
- AI agents act on your behalf based on the configuration and instructions you provide. You remain responsible for any actions taken by an AI agent acting under your account.
- We do not guarantee specific outcomes, revenue results, or business improvements from the use of our AI services.
6. Payment and Billing
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in your service agreement. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
7. Intellectual Property
All rights, title, and interest in the Services — including our software, AI models, interfaces, and documentation — remain the exclusive property ofclientes.ai. Your use of the Services does not grant you ownership of any intellectual property rights. Content you submit remains yours; you grant us a limited license to use it only as necessary to provide the Services.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTES.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless clientes.ai and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice. You may cancel your account at any time through your account settings or by contacting us. Upon termination, your right to use the Services ceases immediately.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Florida.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Services. Continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms.
